End-User Licence Agreement (EULA)
Surgery Consent Companion Pty Ltd

This End-User Licence Agreement (“Agreement”) is a legal agreement between you (“User” or “you”), being a medical practitioner (surgeon or doctor), and Surgery Consent Companion Pty Ltd (“Company”, “we”, “us”, or “our”), an Australian registered company.
By accessing or using our website, platform, and services (collectively, the “Service”), you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, you must not access or use the Service.
1. Licence Grant
The Company hereby grants you a non-exclusive, non-transferable, revocable, and perpetual licence to use the Service to generate consent documents for surgical and medical procedures. You may use the Service for your personal practice or in connection with your professional business as a healthcare provider.
2. Permitted Use
You may use the outputs generated by the Service (e.g., consent documents) solely for the purpose of conducting individual consent discussions with your patients. You may not share, distribute, or otherwise use the outputs for any other purpose not expressly permitted in this Agreement.
3. Prohibited Conduct
You agree not to:
- Copy, extract, reverse engineer, decompile, disassemble, modify, or create derivative works from the Service or its components;
- Redistribute, sublicense, sell, lease, rent, or otherwise make the Service available to any third party;
- Remove or alter any proprietary notices or labels on the Service;
- Use the Service to create a competing product or service.
Only the outputs generated by the Service for each individual patient encounter may be used as part of your clinical practice.
4. Ownership and Intellectual Property
All content, materials, software, algorithms, user interfaces, and data integrated into or collected through the Service are and shall remain the sole and exclusive property of Surgery Consent Companion Pty Ltd.
Any data or content entered by you into the Service becomes the sole property of the Company and may be integrated into the Company's existing databases and used for ongoing development, research, or product enhancement.
You may access the data you enter but may not reproduce, extract, or repurpose it for use outside the Service.
5. Updates and Support
The Company reserves the right to update, modify, or upgrade the Service at its sole discretion. Technical support will be provided to users as part of the Service. This Agreement may be updated to reflect changes in the Service or applicable law, and continued use of the Service constitutes acceptance of any updates.
6. Termination
You may terminate this Agreement at any time by ceasing to use the Service. Upon termination:
- You must immediately discontinue all use of the Service;
- You forfeit any rights to access or control the data you have previously entered;
- All data you entered remains the property of the Company and will continue to be used in accordance with this Agreement.
7. Jurisdiction and Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Australia. Any disputes arising in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Australia.
8. No Legal Representation or Contract of Consent
The outputs generated by the Service are intended solely as aids to facilitate the informed consent discussion between you and your patients. They do not constitute a legally binding contract between you and the patient.
The Service is not a substitute for your professional judgement or for direct, personal communication with your patient. It does not serve as legal or medical documentation of consent.
9. User Responsibility
You, the User, are solely responsible for ensuring that:
- Proper and legally valid informed consent is obtained from patients;
- The consent process meets all professional, legal, and ethical obligations under applicable medical regulations and standards.
Surgery Consent Companion Pty Ltd assumes no responsibility or liability for the consent process, or for any decisions made or actions taken in reliance on the outputs provided by the Service.
10. Acknowledgement
By using the Service, you acknowledge that:
- You have read and understood this Agreement;
- You agree to be bound by its terms;
- You have the authority to enter into this Agreement.
